DocSleuth Terms of Use

Version 2.0Effective

1. Purpose

These Terms set out the conditions for using the DocSleuth desktop application and related website (together, the “Service”) provided by JinsongTech (진송테크, “we”), and the rights, obligations and responsibilities of JinsongTech and users.

2. Definitions

  1. “App” means the DocSleuth software we distribute for macOS and Windows, including updates.
  2. “User” or “you” means any individual or organisation that installs the App or uses the Service.
  3. “Store” means the Apple App Store (including the Mac App Store) and the Microsoft Store, which distribute the App and process in-app purchases.
  4. “Free tier” means the basic scope of use available without purchase.
  5. “Pro” means the paid entitlement planned to be offered by in-app purchase, which removes the Free-tier limits.

3. Posting, effect and changes

  1. We post these Terms on the website where you can easily read them.
  2. We provide a link to these Terms in the App’s settings and on the Pro purchase screen. These Terms take effect when you use the App or purchase Pro.
  3. We may amend these Terms in compliance with applicable law, including the Korean Act on the Regulation of Terms and Conditions. We will announce the effective date and reasons on the website at least 7 days in advance, or at least 30 days in advance for changes that are material or unfavourable to you.
  4. If you do not agree to amended Terms you may stop using the Service and delete the App. However, an amendment does not change the content of a Pro entitlement you have already purchased (removal of the Free-tier limits) to your disadvantage, and the Terms in force before the amendment continue to apply to that entitlement.

4. Software licence and related documents

  1. The licence to use the App (software licence) is governed by the following agreement, depending on where you obtained the App (the “applicable EULA”):
    • App obtained from the Mac App Store: Apple’s standard Licensed Application End User License Agreement
    • App obtained from the Microsoft Store or any other channel: our End User License Agreement (EULA)
  2. Personal information is governed by the Privacy Policy, and withdrawal and refunds by the Refund Policy. These documents and the applicable EULA apply together with these Terms.
  3. Downloads and in-app purchases are also subject to the relevant Store’s terms and conditions of sale.
  4. If these Terms and the applicable EULA conflict, the applicable EULA prevails. However, the provisions of these Terms on consumer protection required by law — such as withdrawal and refunds, limitation of liability, and governing law and jurisdiction — continue to apply, and nothing limits your statutory rights.

5. The service

  1. The App extracts text from documents in folders you choose, builds an index on your device, and provides keyword search, semantic search, OCR (text recognition in images and scanned documents), previews and related features.
  2. The Free tier allows up to 5,000 indexed files and 100 OCR pages per month. Search features, including semantic search, are available in the Free tier.
  3. We describe features and limits on the website and Store product pages and will give advance notice, as in section 3.3, of changes unfavourable to you.
  4. We operate no server that collects documents for the App; document processing takes place on your device.

6. Paid features

  1. Paid sales have not started. When they do, Pro will be offered through Store in-app purchase, and the price, payment method, duration and other conditions will be shown on the Store purchase screen and the website before you buy. Pro is a one-time purchase with no time limit. “No time limit” means the entitlement does not expire; it does not guarantee that the App will keep working on any particular operating-system version, or that updates or support will be provided indefinitely. For as long as we release updates to the App, Pro purchasers receive updates to the features included in Pro (including bug fixes and compatibility and performance improvements) at no additional cost. New features that we sell as separate products (add-ons) are not included in Pro and must be purchased separately; their content and price are shown on the purchase screen before you buy. We will never revoke features you have purchased or turn them into paid features.
  2. Payment is processed and collected by the Store. We do not receive your payment details.
  3. Pro status is confirmed from the Store’s receipt or licence information. You can re-apply it with the App’s restore-purchase function using the same Store account. Purchases may not transfer between the Apple and Microsoft stores.

7. Withdrawal and refunds

  1. Withdrawal of purchase and refunds are governed by applicable law, including the Korean Act on Consumer Protection in Electronic Commerce, and our Refund Policy.
  2. If a minor buys Pro without a legal guardian’s consent, the minor or the guardian may cancel the contract under Article 5 of the Korean Civil Act. The cases where cancellation is not available and the refund procedure are set out in section 5 of the Refund Policy (Purchases by minors).

8. Your obligations

You must not:

  1. use the App to process documents you have no right to access, or documents obtained by infringing others’ rights;
  2. use the App to process or distribute content prohibited by law, including child sexual abuse material;
  3. copy, modify, redistribute or sell the App, or bypass or disable usage-limit checks, except as permitted by the applicable EULA;
  4. process other people’s information in breach of their rights or applicable law; or
  5. otherwise breach applicable law or these Terms.

9. Your documents and data

  1. Documents you process and the index and other data derived from them are stored on your device, and you are responsible for managing and backing them up. We do not hold them and cannot recover them.
  2. The App does not modify your original documents when indexing or searching. We nevertheless recommend backing up important documents regularly.
  3. If you process your organisation’s documents or documents containing other people’s personal information, you are responsible for confirming that the processing is lawful and complies with your organisation’s policies.

10. External services

  1. The App may download semantic-search model files from Hugging Face’s public hub and lets you use Hugging Face models or external embedding APIs that you register.
  2. If you register an external embedding API and approve the transfer in an operating-system dialog, text excerpts from your documents and your queries are sent to the server you specified. Choosing and using that server is your decision and responsibility, and its quality, fees and data handling are governed by its operator’s terms.
  3. We do not warrant the availability or content of external services, but remain liable under section 13 for loss caused by our own intent or negligence.

11. Intellectual property

  1. Rights in the App, the website, their design and documentation, and the DocSleuth name and logo belong to JinsongTech or the respective right holders. Open-source software and models included in the App are subject to their own licences (Open-Source Notices).
  2. These Terms grant no rights beyond those set out in the applicable EULA.
  3. The EmbeddingGemma 2 model used for semantic search is subject to the Apache License 2.0 and Google’s Gemma Prohibited Use Policy (ai.google.dev/gemma/prohibited_use_policy). You must not use the App’s semantic-search features that rely on this model for any purpose prohibited by that policy.

12. Changes and discontinuation

  1. We may update the App to improve features, address security or comply with law. Updates are delivered through the Store.
  2. If we stop distributing or supporting the App we will announce it on the website at least 30 days in advance. Even after distribution or support ends, Pro purchases are verified on your device, so Pro features in an installed copy of the App will not be disabled by any action of ours.

13. Limitation of liability

  1. We are not liable for loss caused by events beyond our responsibility, such as natural disasters or failures of the operating system or Store.
  2. We are not liable for loss that arises, without fault on our part, solely from causes attributable to you or third parties, such as device failure, failure to back up, or processing by an external server you specified.
  3. Search results are based on information extracted from documents; depending on a document’s format or condition some content may be missed or OCR may contain errors. Please check the original document before relying on it for important decisions.
  4. Sections 13.1 to 13.3 do not apply to loss caused by our intent or gross negligence, to loss arising from injury to life or body, or to liability that cannot be limited by law.

14. Notices

We may give notices to all users by posting them on the website. Notices regarding an individual enquiry are sent to the email address you used to contact us.

15. Governing law and jurisdiction

  1. These Terms and any dispute about the Service are governed by the laws of the Republic of Korea.
  2. We will try in good faith to resolve disputes by discussion. You may also apply for mediation to a dispute-resolution body such as the Korea Consumer Agency.
  3. If a lawsuit is filed, a suit concerning a transaction subject to the Korean Act on Consumer Protection in Electronic Commerce falls under the exclusive jurisdiction of the district court for the user’s domicile at the time of filing or, if there is no domicile, the user’s residence (Article 36 of that Act). Where neither the domicile nor the residence is clear at the time of filing, and for any other lawsuit, the competent court is determined under the Korean Civil Procedure Act.
  4. Consumers resident outside Korea also keep the protection of the mandatory provisions of the law of their country of residence.
